What do you value?

It’s often hard for people to answer this question authentically when they are stuck in their heads alone.

Values are not thought 💭 they are felt.

When you are living true to your values you and others will feel a particular way… the feeling is positive, assuring, calming, restful and contains a depth that cannot be translated back into words.

A huge part of a persons struggle which can lead to burn out and resentment, or worse, is not coming from and executing and delivering from this space.

To take an inventory of yourself and confirm if you’re living in your values or not, take three long deep breaths and close your eyes and notice how you feel. Do you feel like there is an inner desire not manifesting on the outside or maybe all the outside forces are working but you’re not feeling good on the inside…

The imbalance of inside and outside is a call to re-evaluate and make big or subtle shifts. When you’re living with integrity to your values you will feel a harmony flowing inside and outside. Within and without. Out and within.

Since life is ever changing this reflection can be used often. Over and over again.

Liquidated damages sounds scary, isn’t comfortable to think about, but when you dive deep into the nuances of the benefits that come with it, it provides an investor with a transactional exit strategy.

In my upcoming newsletter I’ll be diving into what a liquidated damages clause looks like and why it’s an exit strategy and its benefits.

When we first start working on new investor contracts we discuss liquidated damages with them to see if it’s a good fit.

We are not a volume based law firm. While Real Estate prides itself on the amount of deals that get done or the amount of money that passes hands, I made a decision a few years ago so stop focusing on the metric of volume as a goal and rather to shift my firm’s focus to be on depth and quality of our services.

I’ll admit, part of this is selfish because I have a style and way I like to work and if I treat my business model like the walmart of real estate law firms, I won’t be able to work in that way.

So I embodied this way of working and dove deep into designing my client’s journey with us from beginning to end with that depth and quality in mind and since working in this way brings myself and my team joy, it’s had a symbiotic positive outcome for everyone who comes through our doors. Growth Our clients really feel like they’re the only clients we have. We don’t promise that, we never even tell clients they will feel this way, but they do and I intend on keeping it that way.

Liquidated Damages: Often swiftly removed from contracts out of fear, is the missing exit strategy you didn’t know you needed in your investment contract.

When drafted correctly and under the right conditions this clause is a win win for both parties, it saves time, money , energy and it gives investors something they need a lot of in their business… elasticity.

The way I evaluate elasticity for my clients is… when looking at their pipeline do they have the ability to move in and out of their deals fluidly especially when things start unraveling.

The last thing you want is to slow burn a real estate deal.

Big issues sellers and investors face when they sell properties with sour tenants.. remaining or vacating

1. Red flags immediately go up for the buyer 🚩because these tenants will potentially become their tenants
2. The tenants prevent access 🚫 costing the buyer their inspection fee / appraisal fee and therefore restrict the buyer ability to perform their due diligence
3. The property is in shambles. Need I say more?
4. Bad tenants leads to less incentive for the owner to maintain the property… I’ve seen a correlation between bad tenants and disinterested landlords resulting in very poor inspections

All the above to say that, preparing for the sale of a property with tenants where you get top dollar and a good buyer and a smooth deal will require emotional expenditure way before the actual sale process starts. It will begin with building a relationship with your tenant, if possible. Many people simply just to pass off the hot potato and get frustrated when the deal dies because of the tenants. I am a firm believer with effort this can be curtailed in some but not all cases by an effort to create harmony with the tenant first way before the sale.

As an investor there are many ways you can be asked to go all in a deal and it all depends on what the circumstances are, but if you’re fully invested in real estate investing as a career, there are some truths you will need to get comfortable with:

1. You can’t do it alone forever. You’re going to need to rely on people… professionals… a team… your GC etc. so finding good people and knowing when to cut good who have gone bad loose is going to be needed on your journey

2. In the state of NJ, be prepared for legal challenges… squatters, sellers who disappear, foreclosures, breach of contract cases etc. The more you do the more you’ll see.

3. Patience. Not all deals happen the way and in the amount of time you want them to so you need to be able to have patience

4. Diligence. The more you know about a property and the people involved and the possible obstacles the more leverage you have

5. Consistency. Your pipeline is your lifeline. Always be doing activities to keep your pipeline healthy and thriving. Some deals don’t pan out and the less deals in the pipeline means the greater financial impact a deal falling apart will have on you.

6. Alignment. When you go all in on real estate there are many activities and people who can try to pull you out of alignment. If you know where you are aligned it’ll be harder for people to pull you away from your baseline.

7. Values. The more firm you are in your values the more impact you will make with those values being at the forefront.

How do you deliver massive value as a wholesaler?

1. You remain involved with your Seller and you help them transition out of their property and complete the sale with as much convenience as possible.

2. You see the Seller as a human who has fears, needs, wants, anxieties, limiting beliefs and you help them when they’re confronted with them.

3. You support your end buyer in seeing the opportunity the deal has in store for it. This could mean doing an analysis of what can be built, the rental income etc.

4. You do your own diligence do both parties don’t have surprises that could screw up the deal - this is a huge part of what we do with pre-acquisition diligence ☝️

5. You keep your heart open to recognize the impact you’re having on each persons life and you in turn recognize the negative impact if you leave them hanging.

I’m grateful for my clients who have taught me to much about how to be a holistic and mindful investor with values and integrity. Using real estate to bring light to the world.

Relentless.

A word I resonate with a lot in many different ways. An energy that keeps Molson Law Firm in a constant state of growth and development. My team and I are relentlessly looking to serve you better and to find ways to improved our contracts, our process, our knowledge and more.

We are relentlessly searching for ways to make our customer service better to support you.

This relentless energy requires us to take accountability but also to connect and collaborate with you.

We can’t be in this pursuit without you and so we thank you for your willingness to express your needs, to communicate your concerns, to ask if something is possible or not possible, to question if something can be done another way.

Investors should be like this with their business models and contracts too. We have clients who we support in taking their contracts to the next level and it makes each deal smoother and more efficient.

Reflections.

“Yoga says you have the creative power of consciousness intact within you.” - Gurudevi Nirmalananda

As I reflect on this quote I recognize that anything that has happened or has not happened in my life has been a direct result of the action or inaction of my own doing.

I heard someone say recently, “I bought fruit trees but they’re not bearing fruit so now I just want to pull them out of the ground.”

And I thought what a metaphor for how we treat our dreams and plans. I have so many ideas on a daily basis and I imagined myself ripping them out of my heart disk like the trees that don’t bear fruit because I have decided they’re not bringing forth the results I desired and as I imagined this I could physically feel the contraction, the lack of confidence and disbelief in myself.

If, and I believe it to be true, Yoga says you have the creative power of consciousness intact within you, then I should be able to bring forth to the world what I desire.

The lack of fruit is not because the idea I had is a bad one, faulty or not working… in some way, some action, some cognition I’m not in alignment with this deep profound spiritual truth.

And so, I need to turn inward and allow light to shine on the dark spots so that I can align myself in order to tap into my creative capacity.

The creative capacity to bring new into existence as well as to bring them into full fruition.

1. Time. Not just time doing work but time thinking about their clients, the issues they’re resolving and strategy.
2. Embodiment practices that help move energy in, out and through the body
3. Meditation. The art of turning inward to connect to the Source.
4. Empathy and vulnerability.
5. Being proactive and not reactive.
6. Listening and being curious. Asking why a lot.
7. Honoring their intuition.
8. Having clear boundaries.

Investors… you may be wondering if the Beneficial Ownership Reporting applies to your business. Here’s a post to help you navigate this question and the impact on the BOI form on your LLC ownership going forward.

Some activities that will have implications are:

1. If you apply for an entity for an end buyer who you plan to assign a deal to
2. If you do an LLC buyout
3. If you normally have your Attorney handle the LLC formation
4. How many beneficial owners an entity has based on control and substantial activity
